Linking governance with performance • 9th July 2010 • The Taj Mahal Mumbai
The second Corporate Dossier Corporate Governance Seminar 2010 was held on the July 9, 2010 at the Hotel Taj Mahal, Mumbai. This year, the theme was ‘Linking Governance with Performance’. The conference had the right combination of speakers and an imposing audience. The speakers were senior representatives and industry stalwarts from top BFSI, manufacturing and IT companies and legal firms. The audience was a mix of compliance, legal, finance heads, as well as senior representatives from CA, law & consulting firms.

Shri. Salman Khurshid, Minister of State (I/C) for Corporate Affairs, Government of India in his keynote address spoke about the voluntary guidelines of corporate governance and how it draws upon very high inspirational standards.

Mr. Joseph Massey, MD & CEO, MCX Stock Exchange through his theme address set the tone for conference deliberations.










Moderated by Mr. Deepak Satwalekar of Infosys Technologies, the CEO panel included Mr. R Seshasayee, CEO, Ashok Leyland; Ms. Madhabi Puri-Buch, Managing Director & CEO, ICICI Securities; Mr. Anil Singhvi, Vice Chairman, Reliance Natural Resources. Speaking on the topic strategic power of corporate governance, the panelists compared corporate governance standards in the private sector with PSUs, family managed companies with professionally run companies and large ‘A’ group listed companies with ‘B’ and ‘C’ category companies.

The second panel discussion was on the topic creating the right board & need for nomination committee was moderated by Ms. Anjali Bansal, Managing Partner, Spencer Stuart India. The panelists included Mr. Cyril Shroff, Managing Partner, Amarchand & Mangaldas & Suresh A Shroff & Co; Mr. Vimal Bhandari, Country Head, Aegon NV; Mr. D R Dogra, Managing Director & CEO, Care Ratings and Mr. Pradip Shah, Chairman, IndAsia Fund Advisors.

The final session attracted maximum audience as the panelists were industry stalwarts from one of the largest banking firm and large business conglomerate spread across the nation. This session touched upon Indian board in global reality. The session was moderated by Ms. Damini Kumari, Senior Editor, ET Now.

The speakers for the session included Ms. Kalpana Morparia, CEO, JP Morgan India; Mr. Claude Smadja, President, Smadja & Associates; Mr. Lamon Rutten, Managing Director & CEO, MCX; Ms. Naina Lal Kidwai, Group General Manager & Country Head, HSBC and Dr. Santrupt Misra, Group HR Director, Aditya Birla Management Corporation. The debate ranged from the size of boards to the issues of diversity and age. They also highlighted how global boards deal with succession issues. This session was enormously appreciated by the audience.

The highlight of the morning remained Shri. Salman Khurshid, Minister of State (I/C) for Corporate Affairs, Government of India made the keynote address which covered the current state in which voluntary guidelines of corporate governance are acceptable and necessary for mandatory laws. He also spoke about the next two phases when drawing explanations for not compiling with the guidelines will become necessary and when compliance and disclosures will become mandatory.
